1031 EXCHANGE

Selling property held for investment or business can trigger taxes exceeding 35% of capital gains. A 1031 exchange is a tax-deferral strategy that allows investment or business real estate to be sold and replaced with qualifying “like-kind” real estate while deferring capital gains and depreciation recapture taxes. Instead of immediately paying taxes after the sale of a property, proceeds may remain fully invested in replacement real estate.

DELAWARE STATUTORY TRUSTS (DSTs)

A Delaware Statutory Trust (DST) is a structure that allows multiple parties to own fractional interests in institutional-quality real estate. DST interests qualify as replacement property for 1031 exchanges and are commonly used as a passive ownership alternative to direct property ownership. Instead of purchasing and managing an entire property independently, ownership is divided among multiple owners while professional sponsors manage the real estate operations.

BENEFITS OF DST OWNERSHIP

DSTs are designed to provide passive income, with sponsors handling all property management, accounting, reporting, and investor services.

DSTs may provide exposure to multiple properties, locations, asset classes, tenants, industries, lease terms, and debt terms.

DSTs may provide liability protection similar to LLC ownership structures while shielding investors from personal liability.

Some DSTs offer flexible exit options, including another 1031 exchange, a 721 exchange into a REIT, cashing out, or a combination of these strategies.

Because DST offerings are typically structured before closing, they may help investors complete a 1031 exchange within required deadlines.

Tax deductions from interest and depreciation pass through to DST investors. After the hold period, investors may defer capital gains and depreciation recapture taxes through another 1031 exchange.
